These Terms govern your access to and use of immunosync.com.au, the website operated by Lifecycle Oncology Pty Ltd, including the embedded "Kairo" AI assistant. By using the website, you agree to these Terms. If you do not agree, do not use the website.
1. Definitions
In these Terms:
- "We", "us", "our", "the Operator" means Lifecycle Oncology Pty Ltd (ACN to be inserted), a company registered in Victoria, Australia.
- "Website" means the website published at immunosync.com.au and any subdomains, including all content, features, and the Kairo AI assistant.
- "Kairo" means the AI assistant accessible through the floating orb on the Website, including its voice, text, and lead-capture functions.
- "You", "your", "the Visitor" means any person who accesses or uses the Website.
- "Content" means information, text, graphics, video, audio, code, and other material made available through the Website.
2. Acceptance of Terms
By accessing or using the Website, including by interacting with Kairo via voice or text, you confirm that:
- You are at least 18 years of age, or accessing the Website under the supervision of a person who is.
- You have read and understood these Terms and our Privacy Policy and AI Use & Limitations notice.
- You agree to be bound by these Terms.
3. About the Operator
Lifecycle Oncology Pty Ltd is the operator of the Website and the developer of the ImmunoSync platform — a precision-oncology technology that delivers immune-timing intelligence to clinical care teams and research organisations. Our registered office is Level 3, 179 Queen Street, Melbourne, Victoria 3000, Australia.

4. Forward-Looking Statements & Limitation of Reliance
The Website and the Kairo assistant may contain forward-looking statements, projections, estimates, and characterisations regarding Lifecycle Oncology Pty Ltd ("LO"), the ImmunoSync platform, the immune-cycle technology, intellectual-property strategy, regulatory pathway, partnership pipeline, and commercial outcomes. These statements include words such as "may", "could", "seeks to", "should", "aims", "intends", "envisages", "estimates", "expects", "potential" and equivalents.
All such forward-looking statements:
- Reflect subjective judgement and analysis as at the date of publication;

- LO and its officers, employees, and agents disclaim any liability (direct or indirect) for any loss or damage suffered by any person howsoever caused (including negligence, misstatement, and misrepresentation) relating to any reliance on the Website, Kairo's responses, or any forward-looking statement.
Nothing on the Website or said by Kairo constitutes an offer of securities, an invitation to subscribe, or any other communication that, alone, gives rise to legally binding obligations on LO. Any commercial, partnership, or investment relationship is established only by way of a definitive written agreement executed by the Managing Director of LO. You must make your own independent enquiries, investigations, and (where appropriate) seek independent professional advice before acting on any information presented on the Website or by Kairo.
5. Use of the Website
You may access and view the Website for your personal, non-commercial information, subject to these Terms. You must not:
- Use the Website or any Content for any unlawful purpose, or in any manner that could damage, disable, overburden, or impair the Website.
- Use any automated process (scraper, bot, web crawler) to extract Content from the Website without our prior written consent, except for legitimate search-engine indexing.
- Attempt to gain unauthorised access to any portion of the Website, the underlying systems, or any related accounts, computer systems, or networks.
- Reverse-engineer, decompile, or disassemble any part of the Website or attempt to extract the source code of any feature.
- Submit content to Kairo or any other input field that is unlawful, defamatory, infringing, harassing, or that contains personal health information about any other person.
6. Kairo AI Specific Terms
6.1 What Kairo is — and is not
Kairo is a generative AI assistant built on third-party large-language-model and speech infrastructure (currently provided by Google Cloud's Vertex AI service) and grounded against a curated corpus of ImmunoSync materials. Kairo's purpose is to help website visitors orient themselves to information about the ImmunoSync platform, our clinical evidence, and partnership pathways.
Kairo is not:
- A licensed medical practitioner, and Kairo's responses are not medical advice or diagnosis.
- A licensed legal practitioner, and Kairo's responses are not legal advice.
- A licensed financial adviser, and Kairo's responses are not financial product advice within the meaning of the Corporations Act 2001 (Cth) or any other law.
- An offer to issue securities, an invitation to invest, or any other communication that, alone, gives rise to legally binding obligations on Lifecycle Oncology Pty Ltd or any related entity.
6.2 Forward-looking statements via Kairo
Kairo may, in the course of answering questions, repeat, summarise, paraphrase, or characterise forward-looking statements taken from our published materials, scientific publications, regulatory communications, or commercial planning documents. Any such forward-looking statements communicated by Kairo are subject to the Forward-Looking Statements & Limitation of Reliance provisions in clause 4 above, which apply to those statements as if they had been made directly by us in writing. The fact that a forward-looking statement is paraphrased by an AI assistant does not weaken or modify those provisions.
6.3 Errors, omissions, and "hallucinations"
Generative AI systems, including Kairo, can produce content that is factually incorrect, internally inconsistent, outdated, taken out of context, or fabricated entirely (a phenomenon commonly referred to as a "hallucination"). This is an inherent limitation of current AI technology and is not eliminated by retrieval-augmented grounding, system prompts, or other safeguards. You must independently verify any factual, scientific, regulatory, or commercial assertion made by Kairo before relying on it for any purpose.
Without limiting the generality of the above, Kairo's outputs should not be cited as authoritative without confirmation from a primary source — including, where applicable, the published peer-reviewed literature, regulatory documents, our written investor materials, or direct correspondence with our team.
6.4 Voice and text processing by third parties
When you interact with Kairo, your spoken voice and any typed text are transmitted in real time, via secure WebSocket, to Google Cloud's Vertex AI Multimodal Live service for processing. The audio content of your speech is converted to text and audio responses on Google's infrastructure. Use of Kairo therefore involves the disclosure of your voice and any associated input to Google LLC and its sub-processors, in accordance with our Privacy Policy.
You should not share, and we do not solicit, personal health information ("PHI") about yourself or any other person via Kairo. If you start to share PHI, Kairo will redirect you to consult a qualified healthcare professional.
6.5 Lead capture and follow-up
Where you express interest in a follow-up — such as a clinical demonstration, a partnership conversation, an Investor Pack, or any similar materials — Kairo may invoke a "capture lead" function that records the contact details you have provided so that a member of our team can follow up. This function is invoked only after you have expressly stated what you are interested in and provided contact details (typically an email address), and only after Kairo has read those details back to you for confirmation. Captured leads are stored in a system controlled by Lifecycle Oncology Pty Ltd and used only for the purposes described in our Privacy Policy.
6.6 No professional or fiduciary relationship
No use of Kairo creates a doctor–patient, attorney–client, fiduciary, advisory, or other professional relationship between you and Lifecycle Oncology Pty Ltd or any of its officers or affiliates. Communications with Kairo are not subject to legal privilege, medical confidentiality, or any equivalent protection.
6.7 No guarantees of availability
Kairo is provided as an experimental and ancillary feature of the Website. We make no guarantee of availability, latency, voice quality, response accuracy, or any specific performance metric. Kairo may be unavailable, partially available, or behave unexpectedly at any time, including without notice, for reasons including but not limited to maintenance, third-party service degradation, mandatory provider migrations, content moderation triggers, or our discretion.
7. Intellectual Property
Unless otherwise stated, all Content on the Website, including the ImmunoSync trademark, the Kairo trademark, the platform's underlying methodologies, the immune-cycle technology and any associated patent applications, the design, layout, look, appearance, and graphics of the Website, are owned by, or licensed to, Lifecycle Oncology Pty Ltd. All rights reserved.
Reproduction or republication of Content is prohibited other than in accordance with the limited copyright permissions in the Copyright Act 1968 (Cth) or with the prior written consent of the Operator.
Trade marks of third parties referenced on the Website remain the property of their respective owners.
8. User-Submitted Content
By submitting any content to the Website — including, without limitation, voice or text input to Kairo and information provided through the lead-capture function — you grant Lifecycle Oncology Pty Ltd a non-exclusive, royalty-free, worldwide, perpetual licence to use, reproduce, store, and analyse that content for the purpose of operating, improving, and supporting the Website and the ImmunoSync platform, subject always to our Privacy Policy.
You represent and warrant that any content you submit is yours to submit, does not infringe any third-party right, and does not contain personal health information about a third party.
9. Privacy
Our collection, use, and disclosure of personal information in connection with the Website is governed by our Privacy Policy, which is incorporated into these Terms. Cookie usage is described in our Cookie Policy. Specific limitations on, and disclosures about, the Kairo AI assistant are set out in our AI Use & Limitations notice.
10. Disclaimers
The Website and Kairo are provided "as is" and "as available", and to the maximum extent permitted by applicable law, Lifecycle Oncology Pty Ltd disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, currentness, reliability, availability, or freedom from defect or interruption. Nothing in these Terms purports to exclude, restrict, or modify any consumer guarantee or other right that cannot lawfully be excluded under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)).
The Website may contain information about clinical research, including the proof-of-principle trial NCT04168320. Any clinical results presented on the Website or via Kairo represent absolute rates from the relevant cohort and should not be extrapolated to predict outcomes for any individual patient. Information about ImmunoSync's regulatory pathway is forward-looking and subject to the Forward-Looking Statements provisions in clause 4.
11. Limitation of Liability
To the maximum extent permitted by law, in no event will Lifecycle Oncology Pty Ltd, its officers, directors, employees, agents, suppliers, licensors, or affiliates be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost revenue, loss of goodwill, loss of data, business interruption, or any other intangible loss, arising out of or in connection with your access to or use of the Website or Kairo, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by law, the total aggregate liability of Lifecycle Oncology Pty Ltd in connection with your use of the Website or Kairo, regardless of the form of the action and the theory of liability, is limited to the greater of (a) AUD $100, or (b) the amount you have paid to Lifecycle Oncology Pty Ltd, if any, for access to the Website or Kairo (which is, ordinarily, zero).
This clause does not purport to exclude any liability that cannot lawfully be excluded.
12. Indemnity
You agree to indemnify and hold harmless Lifecycle Oncology Pty Ltd and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms; (b) your misuse of the Website or Kairo; (c) your violation of any law or third-party right; or (d) any reliance you or any third party place on AI-generated content from Kairo without independent verification.
13. Third-Party Links and Services
The Website may contain links to, or rely on services provided by, third parties (including Google LLC, Netlify Inc., and others). We do not endorse and are not responsible for the content, privacy practices, or availability of any third-party site or service. Your use of any third-party service is at your own risk and subject to that third party's terms.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Victoria, Australia, and the Commonwealth of Australia. You and the Operator submit to the exclusive jurisdiction of the courts of Victoria and the courts competent to hear appeals from those courts.
15. Severability
If any provision of these Terms is held invalid, illegal, or unenforceable, that provision is to be severed and the remaining provisions of these Terms continue in full force and effect.
16. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date at the top of this document indicates when the Terms were last revised. Continued use of the Website after the effective date of any change constitutes acceptance of the updated Terms. Material changes will be highlighted on the Website where practicable.
